Condizioni di vendita Yacht Garage:
1. CONTRATTO ONLINE: I seguenti termini e condizioni (“Condizioni Generali”) regolano la vendita di macchine per il trattamento delle acque, macchine per il trattamento dell’aria, strutture temporanee ed altri prodotti a marchio Yachtgarage (i “Prodotti”) intercorsa tra il venditore MV Engineerning s.r.l.s. (“Venditore”) e qualsiasi Acquirente (B2B) . Ogni pattuizione difforme dalle presenti Condizioni Generali avrà efficacia solo se esplicitamente accettata dal Venditore per iscritto. Ogni Contratto Preliminare Online emesso dal Venditore ed inviato a mezzo mail all’Acquirente si intende accettato dall’Acquirente con il pagamento dell’acconto riportato nel contratto preliminare online come previsto da. Art. 1325 c.c.. Il pagamento dell’acconto da parte dell’Acquirente è inteso infatti quale una manifestazione espressa di volontà a concludere il contratto con l’accettazione delle condizioni generali qui riportate (comportamento concludente). Ove non sia previsto alcun versamento alla conferma del contratto, è necessaria l’accettazione scritta (la “Conferma”) da parte dell’acquirente. Il presente documento è stato redatto nel rispetto delle ultime indicazioni normative e più precisamente: La Causa nel rispetto dell’Art. 1343 c.c., L’oggetto nel rispetto dell’Art. 1346 c.c., L’accordo Online nel rispetto dell’Art.1326 c.c., Il tempo nel rispetto dell’Art.10 Direttiva CE n.31/2000, e dell’Art.4 Direttiva CE n.31/2000, Il modo nel rispetto dell’Art. 1326 e 1335 c.c., La revoca nel rispetto dell’Art.1328 c.c., Il luogo nel rispetto dell’Art 1335 c.c., Le presenti condizioni generali sono anche scaricabili dal sito web www.yachtgarage.com e/o www.yachtgarage.it . Trascorse 48 ore dal ricevimento dell’acconto o dal ricevimento dell’accettazione scritta da parte dell’acquirente il (“Contratto Preliminare”) si considererà a tutti gli effetti divenuto un regolare Contratto Definitivo senza ulteriore comunicazioni scritte, divenendo vincolante tra le parti. L’acquirente ha la possibilità di recedere dal contratto e di chiedere la restituzione dell’importo versato esclusivamente facendone comunicazione scritta al venditore entro le 48 ore lavorative successive al versamento dell’acconto o all’invio della “conferma”. Qualora la Conferma ricevuta dall’acquirente contenga aggiunte, limitazioni o presenti altri cambiamenti rispetto al preventivo, l’assenso del venditore a tali variazioni si intenderà tacitamente prestato, salvo contestazione scritta da far pervenire all’acquirente entro 48 ore lavorative dal ricevimento della stessa.
2. PAGAMENTO: Il pagamento del prezzo dei Prodotti dovrà essere corrisposto dall’Acquirente sul conto corrente bancario di volta in volta indicato dal Venditore. L’Acquirente accetta sin d’ora che il Venditore possa nominare un terzo quale unico legittimato a ricevere il pagamento estintivo del rapporto, i cui dati saranno tempestivamente comunicati per iscritto all’Acquirente. Qualora sia previsto un pagamento a “merce pronta in fabbrica” l’acquirente si impegna a corrispondere tale importo entro e non oltre sette giorni dalla data della comunicazione di “merce pronta in fabbrica” effettuata per iscritto dal “Venditore” all’ ”acquirente”. Il Venditore avrà facoltà di addebitare all’Acquirente interessi di mora decorrenti dalla data di ricevimento dell’avviso “merce pronta in fabbrica”, in ragione del tasso Euribor 365 a 12 mesi rilevato a tale data, maggiorato del 2%. In caso di ritardo eccedente i quindici giorni dalla ricezione dell’avviso “merce pronta in fabbrica”, il Venditore avrà facoltà di risolvere unilateralmente il contratto e di trattenere, a titolo di risarcimento, le somme già eventualmente versate dall’Acquirente, salvo l’eventuale maggior danno risarcibile. Resta comunque salvo il diritto del Venditore di avvalersi di ogni rimedio previsto dalla Legge in relazione all’inadempimento dell’Acquirente. Qualora sia previsto un pagamento a “merce pronta prima della consegna” l’acquirente si impegna a corrispondere tale importo entro e non oltre sette giorni dalla data della comunicazione di “merce pronta prima della consegna” effettuata per iscritto dal “Venditore” all”acquirente”. Il Venditore avrà facoltà di addebitare all’Acquirente interessi di mora decorrenti dalla data di ricevimento dell’avviso “merce pronta prima della consegna”, in ragione del tasso Euribor 365 a 12 mesi rilevato a tale data, maggiorato del 2%. In caso di ritardo eccedente i quindici giorni dalla ricezione dell’avviso “merce pronta alla consegna”, il Venditore avrà facoltà di risolvere unilateralmente il contratto e di trattenere, a titolo di risarcimento, le somme già eventualmente versate dall’Acquirente, salvo l’eventuale maggior danno risarcibile. Resta comunque salvo il diritto del Venditore di avvalersi di ogni rimedio previsto dalla Legge in relazione all’inadempimento dell’Acquirente.
3. MANCATO RITIRO MERCE Qualora la consegna della merce approntata non possa essere materialmente effettuata per cause indipendenti dal Venditore, trascorsi quindici giorni dall’avviso “merce pronta alla consegna” inviato per iscritto all’Acquirente, Il Venditore avrà facoltà di addebitare all’Acquirente interessi di mora decorrenti dalla data di ricevimento dell’avviso “merce pronta alla consegna”, in ragione del tasso Euribor 365 a 12 mesi rilevato a tale data, maggiorato del 2%. In caso di ritardo eccedente i quindici giorni dalla ricezione dell’avviso “merce pronta alla consegna”, il Venditore avrà facoltà di risolvere unilateralmente il contratto e di trattenere, a titolo di risarcimento, le somme già eventualmente versate dall’Acquirente, salvo l’eventuale maggior danno risarcibile. Resta comunque salvo il diritto del Venditore di avvalersi di ogni rimedio previsto dalla Legge in relazione all’inadempimento dell’Acquirente.
4. GARANZIA Il Venditore riconosce all’Acquirente unicamente una garanzia per vizi meccanici dei Prodotti avente la durata di dodici mesi decorrenti dalla data di consegna. La durata della garanzia non potrà comunque prolungarsi oltre i 15 mesi dalla data di spedizione dei Prodotti. La garanzia consisterà esclusivamente, a scelta del Venditore, nella riparazione o sostituzione, a cura e spese del Venditore medesimo, delle parti strutturali e delle altre componenti dei Prodotti che risultino guasti o non conformi per vizi di origine. La resa dei pezzi consegnati in sostituzione sarà effettuata ex – works (IncoTerms 2000). Il Venditore provvederà alla sostituzione o alla riparazione delle parti difettose nel più breve tempo possibile, da stabilire di volta per volta tra le parti, e avrà facoltà di richiedere all’Acquirente la pronta restituzione dei pezzi sostituiti. La garanzia non si estende alle parti soggette a normale usura, né ai danni causati da errata o carente manutenzione, da errate manovre del personale dell’Acquirente, dall’uso di materie prime ( filtri, prodotti chimici etc. etc.) non adeguate, dalle condizioni meteorologiche, da trattamento difettoso o trascurato, da eccessivo sfruttamento dei prodotti, da danni o deterioramenti causati o aggravati dalla mancata interruzione dell’uso dei beni in presenza di problemi tecnici, o sbalzi di tensione elettrica o di temperatura di lavorazione, o da ogni altra causa non direttamente imputabile al Venditore. La garanzia perde ogni efficacia quando sui Prodotti vengano installate apparecchiature o dispositivi o ricambi non forniti dal Venditore e quando siano apportate modifiche senza il previo consenso scritto del Venditore. Per i Prodotti consegnati smontati dal Venditore, la garanzia perde qualsiasi efficacia qualora il corretto montaggio o la messa in funzione non vengano verificati dal personale del Venditore al termine del montaggio effettuato a cura dell’Acquirente. Il Venditore non risponderà, salvi i limiti inderogabili di legge, dei danni causati da eventuali difetti dei propri Prodotti e dalla garanzia saranno comunque esclusi tutti gli ulteriori danni, compresi quelli derivanti dalla mancata o ridotta produzione, nonché quelli indiretti e consequenziali, o derivanti dalla risoluzione del Contratto. La garanzia è subordinata, a pena di decadenza, alla denunzia del vizio, comunicata in forma scritta dall’Acquirente al Venditore, entro 8 giorni dal momento in cui l’Acquirente ne ha fatto la scoperta, nonché all’espressa richiesta di intervento in garanzia. Nei casi in cui – pur in assenza di vizi originali coperti dalla presente garanzia -si rendano comunque necessarie operazioni di montaggio/ riparazione, si conviene che: (a) l’Acquirente provvederà direttamente con proprio personale, a proprie spese e senza l’intervento del Venditore all’effettuazione di riparazioni e/o montaggi che, a parere del Venditore, presentino una modesta complessità tecnica; (b) per le prestazioni di riparazione e/o montaggio aventi rilevante complessità tecnica, il Venditore interverrà direttamente inviando presso l’Acquirente un tecnico specializzato con il compito di supervisionare l’attività di montaggio/riparazione che sarà effettuata materialmente da personale dell’Acquirente ed a spese dello stesso. Tutte le spese di viaggio e di soggiorno del personale tecnico inviato dal Venditore saranno a carico dell’Acquirente.
5. ESCLUSIONI Le seguenti voci sono escluse dalla fornitura dei Prodotti: Fondazioni se necessarie, e qualsiasi opera muraria e/o lavori civili nel fabbricato dell’Acquirente. Le materie prime occorrenti per le prove e il collaudo dei Prodotti. Personale specializzato e non per l’assistenza ai ns. tecnici durante l’esecuzione dei lavori, incluso interprete, se necessario. Mezzi di sollevamento e trasporto per trasferire i Prodotti dal magazzino al luogo di installazione. Tutti gli attrezzi necessari per aprire gli imballi e posizionare i Prodotti nel luogo previsto. Tutte le condotte/tubazioni per l’alimentazione elettrica, idraulica, aria compressa, ecc., secondo le portate e i consumi richiesti dai Prodotti. Posizionamento dei Prodotti nel luogo previsto, come pure i collegamenti delle utenze. Ricambi, se non diversamente specificato. Qualsiasi altra fornitura e servizi non specificati.
6. MODIFICHE SUCCESSIVE : Qualsiasi modifica che l’Acquirente richiedesse di apportare ai disegni esecutivi eventualmente allegati al Contratto Preliminare Online , così come qualsiasi modifica di ordine tecnico e/o di allestimento, potrà implicare, a giudizio del Venditore, la proroga del termine di consegna previsto, come pure una revisione e maggiorazione del prezzo.
7. PROTEZIONI ANTI-INFORTUNISTICHE: L’Acquirente si impegna ad effettuare il montaggio dei prodotti utilizzando personale qualificato dotato di tutti i previsti dispositivi di protezione individuali, di mezzi di sollevamento o di ausilio al montaggio idonei ed a norma sollevando il Venditore da qualsiasi responsabilità derivante dal mancato rispetto di quanto qui previsto. Il personale del Venditore eventualmente presente durante le operazioni di montaggio ha l’unico compito di supervisionare i lavori e non può in alcun caso intervenire nelle operazioni di montaggio.
8. DOCUMENTAZIONE Nella fornitura di Prodotti sono compresi manuali di istruzioni, manuali di montaggio, manuali di manutenzione e schemi elettrici e pneumatici, ai sensi delle normative CE 98/37 e EN 60204.
9. SOSPENSIONE O RISOLUZIONE DEL CONTRATTO Il Venditore avrà facoltà di sospendere e/o di risolvere il presente Contratto, mediante semplice comunicazione scritta, e con effetto immediato, qualora l’Acquirente non adempia regolarmente e integralmente ai propri obblighi di pagamento del prezzo (compreso il versamento dell’anticipo o della presentazione di idonee garanzie di pagamento). Il Venditore potrà inoltre risolvere con efficacia immediata il presente Contratto, mediante semplice comunicazione scritta, nel caso in cui l’Acquirente sia sottoposto a procedura concorsuale, ovvero mutino sostanzialmente le sue condizioni patrimoniali in modo da porre in evidente rischio e pericolo il conseguimento della controprestazione (a titolo esemplificativo: soggezione a pignoramenti per importi rilevanti, stato di insolvenza, elevazione di protesti a suo carico, ecc.).
10. EVENTUALI CONTESTAZIONI Eventuali contestazioni in merito all’esecuzione del presente Contratto e/o alla qualità e quantità della merce fornita non daranno diritto all’Acquirente di sospendere o ritardare i pagamenti dovuti alle scadenze. E’ fatto salvo il diritto dell’Acquirente di ottenere la sospensione del Contratto ove concorrano idonei motivi imputabili direttamente al Venditore, previo accordo con il Venditore stesso
11. RESPONSABILITA’ DEL VENDITORE Qualora la consegna della merce subisca ritardi significativi per cause imputabili al Venditore, l’Acquirente che abbia dimostrato di aver subito danni potrà chiedere, a titolo di integrale risarcimento e con rinuncia ad ogni altro diritto e pretesa, un indennizzo pari allo 0,5% per ogni settimana, con una franchigia di 90 giorni. In ogni caso, l’ammontare complessivo dell’indennizzo non potrà mai eccedere il 5% del prezzo fatturato sulla parte di fornitura in relazione alla quale si è verificato il ritardo di produzione/consegna. Tale limite costituisce il limite massimo del risarcimento dovuto dal Venditore all’Acquirente a fronte di qualunque inadempimento del Venditore relativo al Contratto. E’ espressamente escluso ogni altro rimedio e la risarcibilità di danni ulteriori. Rimane in ogni caso esclusa la responsabilità del Venditore per danni da mancata o ridotta produzione, nonché per danni indiretti e consequenziali.
12. RISERVA DI PROPRIETA’ Nel caso in cui il pagamento debba essere effettuato -in tutto o in parte – a rate dopo la consegna, i Prodotti consegnati all’Acquirente resteranno di proprietà del Venditore sino al momento dell’integrale pagamento del prezzo (i.e. corresponsione dell’ultima rata), ai sensi degli artt. 1523 e seg. cod.civ. Il mancato pagamento nei termini convenuti anche di una sola rata che superi l’ottava parte del prezzo, ovvero il mancato pagamento di due rate anche non consecutive, comporta la facoltà del Venditore di risolvere il Contratto con effetto dal momento della comunicazione scritta all’Acquirente, come anche la facoltà del Venditore medesimo di dichiarare l’Acquirente decaduto dal beneficio del termine e di esigere il pagamento immediato dell’intero credito residuo. In caso di risoluzione per causa imputabile all’Acquirente, il Venditore avrà diritto di ottenere l’immediata restituzione dei Prodotti consegnati e di trattenere, a titolo di indennità per l’utilizzo da parte dell’Acquirente dei Prodotti, le rate già riscosse e l’acconto già ricevuto, salvo comunque il risarcimento del danno ulteriore. L’Acquirente si impegna ad adempiere tutte le formalità necessarie (e.g. annotazione del patto di riservato dominio nell’apposito registro presente nel Tribunale del luogo in cui i Prodotti si trovano, registrazione del Contratto presso l’Ufficio del Registro, ove necessario, obbligo di non trasferire i Prodotti in luogo diverso da quello di consegna, ecc.) al fine di rendere opponibile nei confronti dei terzi la riserva di proprietà in favore del Venditore. L’Acquirente si impegna inoltre a non cedere i Prodotti, neanche temporaneamente, a terzi e a non concederli in uso o locazione a terzi, come pure a non rimuovere/trasferire gli stessi, senza il preventivo consenso scritto del Venditore. E’ fatta salva la facoltà del Venditore di rinunciare espressamente per iscritto alle previsioni del presente articolo 12.
13. CONTROVERSIE -LEGGE APPLICABILE Ogni controversia derivante dal presente Contratto di vendita sarà deferita ad un Collegio Arbitrale composto da tre arbitri. La sede dell’arbitrato sarà Benevento e lo stesso sarà disciplinato dal Regolamento della Camera Arbitrale di Benevento. Si applicherà la lingua italiana o inglese su accordo delle parti. E’ fatta salva la facoltà del Venditore di agire giudizialmente presso il Foro del luogo in cui esso ha la sede o stabilimenti, oppure del luogo in cui ha sede l’Acquirente, al fine di ottenere provvedimenti cautelari e/o urgenti. Il presente Contratto è regolato dalla legge italiana.
14. MIGLIORIE TECNICHE Il Venditore si riserva il diritto di apportare qualsiasi modifica, di ordine tecnico e/o estetico, che si rendesse necessaria per favorire il miglior e più sicuro funzionamento dei Prodotti ordinati dall’Acquirente.
15. FORZA MAGGIORE Per forza maggiore si intende ogni azione e/o evento imprevedibile, indipendente dalla diretta volontà delle parti contrattuali, al di fuori del loro controllo ed a cui non è possibile porre tempestivamente rimedio adeguato (es.: guerra, atti di terrorismo, sommosse e tumulti, scioperi, trasporti e/o dogane, interruzione vie di comunicazione, embargo, incendio, sabotaggio, calamità o eventi naturali avversi quali nevicate intense, frane, inondazioni, fughe di gas, provvedimenti ostativi da parte di Autorità governative o fiscali o doganali, sospensione nel rifornimento di materie prime, di attrezzature, di energia motrice o elettrica o combustibile, di prestazioni di lavoro). Al verificarsi di un evento di forza maggiore, gli obblighi delle parti che non possano essere adempiuti in ragione di tale causa si considereranno automaticamente sospesi, senza penalità, per la durata dello stato di forza maggiore. Le parti s’impegnano comunque ad assumere le iniziative in loro potere per cercare di assicurare, entro breve tempo, il normale adempimento delle obbligazioni. Qualora le parti non siano in grado di eseguire le prestazioni per un periodo di tempo superiore ai sei mesi in ragione del perdurare della causa di forza maggiore, le stesse si incontreranno al fine di adottare le opportune determinazioni in merito al Contratto.
16. OBBLIGO DI RISERVATEZZA -DIRITTI DI PROPRIETÀ INDUSTRIALE – L’Acquirente è tenuto a mantenere riservate tutte le notizie di carattere tecnico (es: disegni, prospetti tecnici, documentazione, formule e corrispondenza in generale) ricevute dal Venditore e comunque apprese in esecuzione del Contratto. Tale obbligo permarrà in capo all’Acquirente per la durata di tre anni a far data dalla consegna all’Acquirente dell’ultimo lotto di Prodotti venduti. Ogni diritto di proprietà industriale od intellettuale relativo ai Prodotti venduti rimarrà di esclusiva titolarità del Venditore.
17. RITARDO NEI PAGAMENTI In caso di ritardo nei pagamenti rispetto alle date stabilite nelle fatture, l’Acquirente sarà costituito automaticamente in mora ed il Venditore avrà diritto di addebitare all’Acquirente interessi di mora al tasso previsto dal D. Lgs. 192/2012 (tasso di riferimento BCE + maggiorazione 8%).
18. VARIE L’eventuale sopravvenuta inapplicabilità totale o parziale di una qualsiasi clausola delle presenti Condizioni Generali, lascia impregiudicata la validità delle altre clausole. I dati riportati sui cataloghi, listini, lettere circolari, pubblicità, quali pesi, misure, prezzi, termini di consegna ecc., sono puramente indicativi e non costituiscono impegno del fornitore/venditore in tale senso.
19. INFOMATIVA TRATTAMENTO DATI PERSONALI (D. Lgs. 196/2003 “Codice Privacy”)Il Venditore tratta i dati personali forniti dall’Acquirente, o altrimenti acquisiti anche presso terzi, con mezzi informatici e/o manuali; procedure e logiche sono decise secondo le finalità di trattamento. I dati sono trattati per eseguire/perfezionare il Contratto, far valere, difendere un diritto, adempiere la normativa vigente. Conferire i dati per l’esecuzione del presente Contratto è necessario ed è obbligatorio per adempiere alla legge; non conferirli rende impossibile eseguire il presente Contratto. Il personale del Venditore incaricato ed il Responsabile, se nominato, hanno accesso ai dati; l’Acquirente può richiedere l’elenco aggiornato dei Responsabili e dei soggetti cui i dati sono comunicati, che sono: autorità, istituzioni pubbliche, istituti di credito, collaboratori, terzi per servizi tecnici ed organizzati usati per le finalità di cui sopra, altre società del gruppo, i legittimi destinatari ai sensi di legge, che trattano i dati come Titolari, Responsabili o incaricati, secondo il caso, per le finalità di cui sopra. L’Acquirente può esercitare in qualsiasi momento i diritti di cui all’art. 7 “Codice Privacy” rivolgendosi al Titolare, ad esempio ottenere conferma dell’esistenza o meno dei dati, verificarne contenuto, origine, esattezza, chiederne integrazione, aggiornamento, rettificazione, cancellazione, conversione in forma anonima, blocco in conseguenza di violazione di Legge, opposizione al trattamento per motivi legittimi. Il Titolare è MV Engineering S.r.l.s. Via Pietro Nenni 13, 82100 Benevento. Per il trattamento c.d. necessario in ottemperanza agli obblighi di Legge, nonché per far valere un diritto e per eseguire il presente Contratto di compravendita, il consenso non è necessario (art. 24 “Codice Privacy”).

1. ONLINE CONTRACT: The following terms and conditions ( “Terms”) govern the sale of water treatment plants , air treatment systems , temporary structures and other Yachtgarage’s products (the “Products”) exchanged between the seller MV Engineerning Ltd. ( “Seller”) and any Purchaser (B2B). Any agreements conflicting with these Terms and Conditions will be effective only if expressly accepted by Seller in writing. Each Preliminary Contract Online issued by the Seller and sent by mail to the Purchaser is deemed accepted by the down payment reported in the online preliminary contract as expected by. Art. 1325 commercial code . The payment by the Purchaser is in fact understood as an express statement of will to conclude the contract with the acceptance of the terms and conditions contained herein (implication). Where it is not expected any payment on confirmation of the contract, requires the written agreement (the “Confirmation”) by the purchaser. This document has been prepared in compliance with the latest regulatory guidelines, namely: The Cause in compliance with Art. 1343 of the Civil Code, The object in accordance with Art. 1346 cc, the agreement Online respecting dell’Art.1326 DC, Time in accordance with article 10 EC Directive 31/2000, article 4 and 31 of Directive EC / 2000, The way accordance with Art. 1326 and 1335 cc, Revocation in respect dell’Art.1328 commercial code, the place in respect of Art 1335 of the Civil Code, The present general conditions can be downloaded from www.yachtgarage.com website. 2. PAYMENT: Payment of the Product price shall be paid by the Buyer’s bank account from time to time indicated by the Seller. The Buyer hereby accepts that the Seller can appoint a third party as the only entitled to receive payment to settle the relationship, the data of which will be communicated in writing to the Buyer. Where provision is made a payment to “factory-ready merchandise” the buyer agrees to pay that amount no later than seven days from the date of communication of “factory-ready products” made in writing by the “Seller” to “buyer” . Seller shall be entitled to charge the Purchaser late payment interest as from the date the “factory goods are ready”, because of the 12-month Euribor 365 detected at that date, increased by 2%. In case of delay exceeding fifteen days from the receipt of the notice “factory goods are ready”, the Seller shall have the right to unilaterally terminate the contract and to retain, as compensation, the sums already paid by the Buyer possibly, prejudice ‘ any additional damages compensable. It remains subject to the right of the Seller to make use of any remedies provided by law in connection with the infringement of the Purchaser. Where provision is made a payment to “goods ready before delivery,” the buyer agrees to pay that amount no later than seven days from the date of communication of “goods ready before delivery” made in writing by the “Seller” to “buyer “. 3. 4. WARRANTY:The Seller only guarantee for mechanical defects in the Products during the first twelve months from the date of delivery / testing. 6. 9.
